These Terms of Business govern the provision of professional ecommerce support and consultancy services by Vertical Utility Hub Ltd to our clients.
By requesting a quotation, instructing us to commence work, or using our professional services, you agree to be bound by these Terms of Business. Please read these terms carefully before engaging our services.
B2B Exclusivity & Contract Formation
Vertical Utility Hub Ltd operates strictly within commercial channels, offering specialized business assistance rather than retail services.
B2B Services Only
Our services are exclusively intended for:
• Registered Companies & Corporations
• Sole Traders & Partnerships
• Limited Liability Partnerships (LLPs)
• Ecommerce Brands & Marketplace Retailers
• Professional Business Owners
We do not support individuals for personal, domestic, or household purposes. Accordingly, UK consumer protection legislation does not apply to our commercial agreements.
Quotations & Contracts
Any quotation or scope proposal provided by our firm is an invitation to treat and does not constitute a unilaterally binding legal offer.
A binding contract is formed only when:
1. We confirm written acceptance of your detailed instructions, or;
2. We actively commence operational tasks following your acceptance of our project quotation.
Quotations remain valid strictly for the timeframe detailed inside the document unless withdrawn earlier.
Service Scope & Client Responsibilities
A successful engagement relies on active coordination, transparent inputs, and realistic permission boundaries.
Defined Service Offerings
Our advisory scope covers Ecommerce Consulting, Amazon & eBay Marketplace Support, Product Hunting, and Product Research. Any requests falling outside of the pre-agreed scope require a revised contract and updated fees.
Client Responsibilities
Clients must provide complete data, respond promptly to communications, ensure legal compliance for their products, and maintain independent decision-making responsibilities. Delays in data supply may push delivery dates.
Platform Permissions
When our activities require logging into marketplace panels, the client manages all user permissions. We strongly advise setting up designated sub-user access roles instead of sharing master passwords with our team.
Invoicing, VAT Status & Intellectual Property
We operate under structured payment terms and protect both our proprietary methods and your unique commercial identities.
Billing & Payment
Invoices are issued upfront, at milestone markers, or monthly under retained service accounts. Outstanding accounts may trigger suspension of services. We reserve the right to apply late interest on commercial accounts where permitted by law.
VAT Status
Vertical Utility Hub Ltd applies Value Added Tax (VAT) strictly where mandated by UK tax regulations. Applicable VAT amounts are displayed clearly on all official documentation and invoices issued by our office.
Intellectual Property
Unless agreed otherwise, Vertical Utility Hub Ltd retains ownership of its core methodologies, internal templates, and consulting workflows. Clients retain full ownership of their brand logos, physical data, and specific marketing assets.
Disclaimers & Limitation of Liability
Platform & Result Disclaimers
Third-Party Independence:
We are independent of Amazon, eBay, and other marketplaces. We have zero control over algorithm shifts, sudden policy modifications, system outages, or account suspensions carried out by those platforms.
No Outcome Guarantees:
While we offer premium research and expertise, we do not guarantee specific rankings, sales surges, marketplace acceptance, or immediate profits. Final commercial performance relies on external market variables.
Liability Exclusions
Nothing within these Terms excludes or limits liability where such liability cannot legally be excluded under the laws of England and Wales.
Subject to that provision, our firm is not liable for:
• Indirect, collateral, or consequential commercial damages
• Loss of potential profits, revenue, or business opportunities
• Brand reputation damage or loss of anticipated financial savings
• Punitive marketplace suspensions or platform-related blocks
Except where required by law, our maximum aggregated liability for any claim shall not exceed the total fees paid by the client for the specific services directly giving rise to that claim.
Account Termination & Prohibited Usage
Clear processes govern how agreements are completed or concluded if conditions are not met.
Governing Law & Jurisdiction
These Terms of Business and any associated contractual engagement shall be governed by, and interpreted in accordance with, the laws of England and Wales. Any legal dispute or proceeding arising under these agreements shall be subject to the exclusive jurisdiction of the courts of England and Wales.
